Terms of Use
These Terms of Use govern access to and use of Welkodia, a service owned and operated by KERNL LIMITED. Creating an account or using the platform constitutes full acceptance of these terms.
1) Operator and scope
- Operator: KERNL LIMITED, a private limited company incorporated in England and Wales.
- Incorporation date: January 20, 2026.
- Service name: Welkodia.
- Model: SaaS web application, mainly B2C, with B2B users also permitted.
- Access is reserved to persons aged 18 or over.
2) Definitions
- Platform: the Welkodia application and its features.
- Owner: a user offering services or items for a property they own or manage.
- Pro: a professional user managing properties for owners.
- Guest: an end user consulting a guidebook and placing an order.
- Provider: an owner or pro publishing an offer and carrying out the service or delivery.
- Offer: any item or service published by a Provider through Welkodia.
3) Welkodia's role
Welkodia provides a technical intermediation service for presenting offers and collecting orders and payments.
Sales or service contracts are concluded directly between the Guest and the Provider.
Welkodia is neither the seller, lessor, nor service provider of the offers published on the platform.
4) User account and eligibility
You must be at least 18 years old and have the legal capacity required to contract.
You agree to provide accurate, current, and complete information.
You are responsible for the use of your account and the confidentiality of your credentials.
5) Provider obligations
- Providers are solely responsible for the offers they publish, including description, price, availability, legality, safety, and regulatory compliance.
- Providers warrant that they hold all rights, authorizations, insurance, and approvals necessary to publish and fulfill their offers.
- Illegal, dangerous, misleading, counterfeit, or otherwise non-compliant goods or services are prohibited.
- Providers are solely responsible for properly fulfilling their commitments toward Guests.
6) Marketplace transparency and offer ranking
Welkodia acts as an online marketplace operator under applicable law.
Offer ranking may depend on factors such as activation status, provider-defined order, contextual relevance, and information completeness.
Unless expressly stated otherwise, Welkodia does not list sponsored offers.
7) Payments and compliance
Payments are processed by Stripe and/or Stripe Connect. Welkodia does not store full bank card details.
When a Guest places an order, Welkodia may place a card preauthorization to verify the payment method without immediately capturing the funds. The card is only charged once the Provider confirms that it will take charge of the order.
Each user must comply with Stripe terms, including rules on restricted and prohibited activities.
In the event of non-compliance, suspected fraud, or legal violations, Welkodia may restrict, suspend, or delete an account and remove offers.
8) Pricing and Welkodia fees
Welkodia collects Transaction Fees on sales made through the Platform, in particular through the Stripe Connect application fee mechanism.
The amount of these commissions is calculated according to the type of plan subscribed to by the Provider:
- Individual Plan: 13% of the total order amount.
- Professional (Pro) Plan: 7% of the total order amount.
In addition, for users on the Individual Plan, a fixed Stripe handling fee is applied to the first order of each calendar month. The exact amount depends on the currency of the order and is disclosed before confirmation.
The exact details of the applicable fees are communicated before each order is confirmed and/or remain available in the Provider interface.
Unless expressly stated otherwise, Welkodia's compensation does not influence the ranking of Offers.
Amounts due to the Provider in respect of an order are transferred after the delivery of the relevant item or the performance of the relevant service has been validated on the Platform. For orders containing multiple items or services, transfers may be made in installments as each item or service is validated as delivered.
9) Orders, fulfillment, refunds, and disputes
An order placed by a Guest constitutes a request subject to Provider confirmation. The Provider has a maximum of 7 calendar days from the request date to accept or refuse the order, including in cases of unavailability, inability to perform, or any other legitimate reason. If the Provider does not confirm the order within that period, the request is automatically cancelled.
Until the Provider confirms that it will take charge of the order, the Guest may cancel the request free of charge using the cancellation methods made available on the Platform. In the event of refusal or no confirmation within the period above, the card preauthorization is released, subject to the Guest's bank processing times.
After the Provider confirms the order, any request for cancellation, refund, goodwill gesture, claim for non-delivery, non-performance, delay, non-conformity, or dissatisfaction must first be addressed to the Provider, who remains solely responsible for fulfilling the sale or service and for all contractual and legal obligations owed to the Guest.
The Provider shall bear exclusively the cost of any refund, compensation, dispute fee, chargeback, penalty, banking fee, or equivalent amount arising out of its Offers or their performance. Welkodia may, at its sole discretion and without being required to do so, provide technical information, facilitate amicable communications, or operationally process a payment flow, without thereby becoming the debtor of any amount claimed by the Guest or a substantive party to the dispute.
If Welkodia incurs, advances, pays, or is charged any amount, cost, or expense in connection with an order, claim, dispute, chargeback, refund, or failure attributable to the Provider, the Provider authorizes Welkodia to recover the corresponding amounts as of right, including by set-off against any sums held for, owed to, or becoming payable to the Provider, without prejudice to any other rights or remedies.
10) Withdrawal rights and Provider legal obligations
Where the law grants withdrawal rights or statutory guarantees to a Guest, those obligations are borne by the relevant Provider.
Providers undertake to properly inform Guests of their rights, restrictions, deadlines, cancellation terms, and refund conditions, taking into account the nature of the Offer and any mandatory legal provisions.
11) Prohibited uses
- Publishing unlawful, misleading, defamatory, violent, hateful, or rights-infringing content.
- Using Welkodia to evade the law, commit fraud, launder money, or violate tax or consumer rules.
- Attempting to compromise the security of the platform.
12) Account suspension and deletion
Welkodia may, at any time and without notice in urgent situations, restrict, suspend, or delete an account and/or an offer in the event of a breach of these Terms, legal risk, Stripe non-compliance, suspected fraud, or user safety risk.
13) Intellectual property
The platform, its code, design, brand, and content are protected by Welkodia and/or its licensors' intellectual property rights.
You retain your rights over your content, but grant Welkodia the non-exclusive license necessary to host, display, and technically operate the service.
14) Personal data
Personal data processing is described in the Welkodia Privacy Policy.
Each Provider remains responsible for its own personal data processing when managing clients and services.
15) Service availability and evolution
The platform is provided on an as-is and as-available basis.
Welkodia may modify, suspend, or evolve all or part of the service for technical, security, legal, or product reasons.
16) Limitation of liability
To the maximum extent permitted by applicable law, Welkodia shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, data, goodwill, or reputation.
For users acting in the course of business, Welkodia's total aggregate liability for all claims arising out of or relating to the Service or these Terms is capped at the lower of the fees paid by that user to Welkodia during the 3 months preceding the event giving rise to the claim and GBP 100.
Nothing in these Terms excludes or limits Welkodia's liability for fraud, or for death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited.
17) Indemnity
Each user shall indemnify Welkodia against any claim, action, judgment, cost, or expense resulting from their offers, content, breach of these Terms, or violation of the law or third-party rights.
18) Governing law and disputes
These Terms are governed by the law of England and Wales, subject to mandatory consumer protection provisions that may apply.
Before any court action, the parties agree to seek an amicable resolution.
Subject to mandatory consumer rights, exclusive jurisdiction is granted to the courts of England and Wales.
19) Amendments to the Terms
Welkodia may amend these Terms at any time. The updated version applies from the time of publication unless applicable law provides otherwise.
